Field Cortex^™ AI

1. Acceptance of Terms
By accessing the Field Cortex AI website, Technician Portal, or SMS/MMS diagnostic interface, you agree to these Terms. This is a binding legal agreement between Field Cortex AI LLC (“Company”) and the User (Business Owner or Technician).

2. High-Risk Activity Warning & Assumption of Risk
The User acknowledges that working on mechanical, electrical, HVAC, and appliance systems is inherently dangerous.
Assumption of Risk: The User and its Technicians expressly acknowledge and accept the risks of serious bodily injury, death, and property damage associated with trade work.
Professional Certification: Users certify they are trained professionals and agree to follow all local, state, and federal codes, including EPA Section 608, OSHA safety guidelines, and National Electrical Codes (NEC).
AI Limitations: Field Cortex AI is a supplemental informational tool only. It is not a safety manual or a substitute for professional diagnostic tools. AI may generate incorrect information; the User must verify all technical data before execution.

3. Absolute Limitation of Liability
To the fullest extent permitted by law, Field Cortex AI LLC, its owners, and affiliates SHALL NOT BE LIABLE for: Personal injury or death; Property damage, fire, or explosions; Environmental contamination or EPA violations; Loss of business revenue or data. The final responsibility for safety and execution rests solely with the on-site technician.

4. Messaging Compliance (TCPA & A2P)
For the Maintenance Mine or any automated messaging features:
Authorization: The Business Owner certifies they have obtained express written consent from their customers to receive SMS/MMS messages.
Indemnification: User agrees to defend and indemnify Field Cortex AI LLC against any claims arising from the Telephone Consumer Protection Act (TCPA) or carrier-level A2P violations resulting from User-provided data.

5. Subscription, Credits, and No-Refund Policy
Annual Billing: Subscriptions are billed annually in advance to maintain service continuity.
Credit Expiration: Annual credits (Solo, Small Team, Mid, Large, or Enterprise) are granted at the start of the billing cycle. Unused credits do not roll over to the following year.
Credit Calculation: One (1) SMS counts as one (1) credit. One (1) MMS (picture) counts as three (3) credits due to higher carrier costs.
Refunds: All sales are final. No refunds will be issued for partial years or unused credits.

6. Account Integrity & Enterprise Use
One-Entity Rule: Each subscription is valid for one legal business entity only. Sharing an "Enterprise" or "Large Fleet" plan across multiple independent companies is strictly prohibited.
Verification: We reserve the right to request proof of technician employment to prevent account resale.

7. Governing Law & Jurisdiction
These Terms are governed by the laws of the State of Georgia, USA. You expressly agree that any legal action shall be filed exclusively in the courts of Carroll County, Georgia. You waive any right to a trial by jury or participation in a class-action lawsuit.
